These General Terms of Business for Language Services (“Terms”) constitute a binding agreement between Impact Language Solutions Kft., located at Visegrádi u. 9., 1132 Budapest (“Provider”), and the client (“Client”) who uses the services provided by the Provider, including but not limited to translation and interpreting services. By accepting a quote, placing an order, or otherwise engaging our services, the Client agrees to these Terms.
1. Services Offered
The Provider offers translation and interpreting services as outlined in individual project scopes. Specific services may include (but are not limited to):
- Written translation of documents
- Conference or event interpreting
- Translation with printing services
- Transcription and subtitling services
2. Quotations and Orders
- Quotations provided by the Provider are valid for 14 days from the date of issue unless otherwise stated.
- All services will be confirmed in writing (email is acceptable) before commencement of work.
- By approving a quotation or placing an order, the Client accepts these Terms.
3. Fees and Payment Terms
- Prices for services will be outlined in the quotation. Additional charges may apply for rush services, complicated texts, or other factors, but the Client will always be informed of these before placing the order.
- Payment shall be made within 8 days of the invoice date unless otherwise agreed in writing.
- The Provider reserves the right to charge interest on overdue payments at twice the National Bank of Hungary’s base rate of interest until full payment is received.
4. Client’s Responsibilities
- The Client is responsible for providing accurate and complete information and source materials required for the provision of services.
- The Client must ensure that all documents submitted for translation or interpretation do not violate any confidentiality agreements or intellectual property rights.
5. Confidentiality
- Both parties agree to treat all information exchanged during the course of service delivery as confidential.
- The Provider will not disclose any of the Client’s confidential information to third parties without the Client’s consent, unless required by law.
6. Quality Assurance
- The Provider will do all in its power to ensure the accuracy and quality of the services provided.
- The Client may request revisions, commensurate with the level of service ordered, within 8 days after receiving the final translation. Such revisions will be addressed within a reasonable timeframe to be agreed between the parties.
7. Liability
- The Provider will not be liable for any indirect, special, or consequential damages arising from the use of its services or related to the provision of its services.
- The Provider’s maximum liability for any claims arising out of this agreement shall not exceed the total fees paid for the specific services provided.
8. Force Majeure
The Provider shall not be held liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, government restrictions, wars, or other unforeseen events.
9. Termination
- Either party may terminate the contract, in whole or in part, with written notice if the other party breaches any material provision of these Terms and fails to remedy such breach within 3 (three) days of receipt of notice.
- Upon termination, the Client shall pay for services rendered up to the termination date.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hungary. Any disputes arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the Budapest-Capital Regional Court (Fővárosi Törvényszék), unless required otherwise by the nature of the dispute, or unless agreed otherwise in a separate written contract between the parties.
11. Amendments
The Provider reserves the right to amend these Terms at any time. Any amendments shall be communicated directly to the Client and will take effect upon the next service engagement.
12. Acceptance of Terms
By engaging in services with the Provider, the Client acknowledges that it has read, understood, and agreed to these Terms.
